Last updated: June 2026 · This agreement is between you ("Partner") and Covre Technologies LLC ("Covre" or the "Company").
1. Independent Contractor Status
You are an independent contractor, not an employee, agent, or franchisee of Covre. You have no authority to bind Covre to any agreements or obligations. You are solely responsible for your own taxes, insurance, and business expenses. Covre will not withhold taxes from commission payments.
2. What You're Authorized to Do
As an approved Partner, you may:
- Share your personal referral link with potential customers
- Describe Covre's features accurately using information from covre.app or your partner dashboard
- Offer businesses the 7-day free trial on Covre's behalf
- Use Covre's name and logo solely to identify yourself as a partner
3. Prohibited Activities
You may not:
- Make false, misleading, or exaggerated claims about Covre's capabilities
- Guarantee specific results, revenue, or outcomes to businesses
- Spam, cold-call en masse, or use unsolicited bulk messaging to promote Covre
- Target or solicit existing Covre customers
- Create your own Covre marketing materials without prior written approval
- Register domain names, social media accounts, or ads using "Covre" without approval
- Offer unauthorized discounts, incentives, or terms not listed on covre.app
- Sub-affiliate or share your referral code with other promoters without approval
- Misrepresent your relationship with Covre (e.g. claiming to be an employee)
4. Commission Structure
Commissions are paid as follows:
- Month 1 (all tiers): 50% of the business's first month subscription payment
- Months 2–3 (Silver, 6–30 clients): 5% recurring — no retention requirement
- Months 2–3 (Gold+, 31+ clients): 10–25% recurring — requires 50% client retention at 3+ months (see Section 5)
Tier rates are locked in per client at the time of their conversion. Future tier upgrades do not retroactively change rates for previously converted clients.
5. Retention Requirement (Gold Tier and Above)
To earn recurring commissions at Gold (10%), Platinum (15%), Diamond (20%), or Elite (25%) tier, you must maintain a 50% client retention rate — meaning at least 50% of your total referred clients must be active Covre subscribers for 3 or more months.
If your retention falls below 50%, new client signups will earn recurring commissions at Silver rate (5%) until your retention rate returns above the threshold. Covre calculates retention monthly.
6. Commission Eligibility & Clawbacks
A commission is earned when a referred business completes their 7-day free trial and their first monthly payment is successfully processed. No commission is owed for:
- Businesses that cancel during or immediately after the free trial
- Businesses that were already Covre customers before your referral
- Referrals where fraud, misrepresentation, or violations of this agreement are involved
- Chargebacks or reversed payments
If a commission is paid and the underlying payment is later reversed or refunded within 30 days, Covre reserves the right to deduct the amount from future commission payments.
7. Payment Terms
Commission is earned on the day a referred business completes 30 days of continuous active subscription on the platform. Commissions earned in a given calendar month are paid on the 3rd Friday of the following calendar month (for example, a referral that completes its 30-day mark anytime in March is paid on the 3rd Friday of April), via Venmo, Zelle, or check. Covre reserves the right to hold payouts pending verification of referral validity. Minimum payout threshold is $10.00.
8. Program Modifications
Covre reserves the right to modify commission rates, tier thresholds, or program terms with 30 days written notice to active partners. Changes will not apply retroactively to clients already converted before the notice date. Continued participation after the notice period constitutes acceptance of updated terms.
9. Termination
Either party may terminate this agreement at any time with written notice. Covre may terminate immediately, without notice, for violations of Section 3 (Prohibited Activities), fraud, or conduct that damages Covre's reputation. Upon termination:
- Your referral link will be deactivated immediately
- Earned commissions for completed conversions prior to termination will still be paid
- Recurring commissions stop accruing from the termination date
- No commissions are owed for conversions that occur after termination
10. Confidentiality
You agree to keep confidential any non-public information about Covre's business, pricing strategies, customer lists, or technology that you access as a partner. This obligation survives termination of this agreement.
11. Intellectual Property
All tools, materials, scripts, playbooks, training content, coaching responses, pitch guides, objection handlers, business discovery data, and any other resources provided through the Covre partner program or partner dashboard are the sole and exclusive property of Covre. You are granted a limited, non-transferable, revocable license to use these materials solely for referring businesses to Covre under this agreement.
You may not copy, reproduce, distribute, sell, sublicense, or repurpose any Covre materials for any other purpose. Any content or feedback you submit through the partner dashboard (including objections and coaching submissions) may be used by Covre to improve its products. Upon termination, your license to all Covre materials is immediately revoked.
13. No Exclusivity
This agreement is non-exclusive. Covre may work with other partners, affiliates, or sales channels in any market. You may promote other products and services as long as they do not directly compete with Covre and you do not use Covre's materials to do so.
12. Limitation of Liability
Covre's total liability to you under this agreement shall not exceed the total commissions paid to you in the 3 months preceding the claim. Covre is not liable for any indirect, incidental, or consequential damages arising from your participation in the partner program.
13. Representations & Warranties
By accepting this agreement, you represent that: (a) you are at least 18 years old; (b) you have the legal right to enter into this agreement; (c) all information you provided in your application is accurate; and (d) you will comply with all applicable laws in your promotional activities.
13. Non-Compete & Non-Solicitation
During your participation and for 12 months after termination, you agree not to: (a) solicit any Covre customer you met through the program to switch to a competing service; (b) use program information to benefit a direct Covre competitor; (c) recruit any other Covre partner or employee away from Covre.
14. No Disparagement
You agree not to make false, misleading, or disparaging statements about Covre, its products, team, or customers during or after participation. This includes social media, reviews, forums, or verbal statements. Covre reserves the right to pursue legal remedies for defamatory statements.
15. Indemnification
You agree to indemnify and hold harmless Covre and its team from any claims or expenses (including legal fees) arising from: (a) your violation of this agreement; (b) false claims you made to potential customers; (c) your violation of any applicable law; (d) any dispute between you and a referred business.
16. No Guarantee of Earnings
Covre makes no guarantees regarding earnings. Commission income depends on your efforts and the decisions of referred businesses. Any earnings examples are illustrative only and not a guarantee of results.
17. Data & Privacy
You consent to Covre processing your personal information for program administration and payments. Covre will not sell your personal data. You agree not to collect personal information about referred businesses or their customers without written authorization from Covre.
18. Audit Rights
Covre may audit your referral activity at any time. If commissions were earned through fraud or policy violations, Covre may withhold or reverse those payments and terminate your partnership immediately.
19. Force Majeure
Covre is not liable for delays in payments or program availability due to circumstances beyond its control, including server outages, payment processor failures, natural disasters, or government actions.
20. Governing Law
This agreement is governed by the laws of the State of Illinois, United States, where Covre Technologies LLC is organized. Any disputes shall be resolved in the courts of Cook County, Illinois. You waive the right to participate in class action lawsuits related to this agreement.
21. Lead Ownership & Non-Duplication
Leads are tracked centrally by Covre using each business's phone number. When you add or claim a business, it becomes assigned to you, and other partners will be blocked from contacting that same business while your claim is active. You may NOT contact a business that the system shows is already being worked by another partner. A claim is released back to the available pool if you log no genuine activity (a call, note, or status update) on it for 14 consecutive days — simply viewing a lead does not count as activity. Attempting to circumvent, share, or game the lead-assignment system (including coordinating with other partners to bypass claims) is a prohibited activity and grounds for immediate termination and commission forfeiture.
22. Contact Limits & Do-Not-Contact (Anti-Harassment)
You must conduct all outreach professionally and in compliance with applicable law, including the TCPA and Do-Not-Call regulations. Reasonable follow-up with a business you are working is permitted, but you must STOP contacting any business immediately upon ANY indication they are not interested or wish to stop being contacted (including 'no,' 'not interested,' 'stop,' 'remove me,' or similar), and you must promptly mark that business as 'Do Not Contact' in your dashboard. A business marked Do Not Contact is permanently off-limits to ALL partners. Repeatedly contacting a business after a claim is taken by another partner, after a Do-Not-Contact request, or in a manner that constitutes harassment or spam is strictly prohibited. Covre monitors outreach activity and reserves the right to suspend or terminate any partner whose conduct creates legal, reputational, or harassment risk for Covre, and to pursue indemnification under Section 15 for any resulting claims.
23. Logging Leads Is Required for Commission
To earn a commission on a business, you must log that business as a lead in your Covre dashboard (with its phone number) before or at the time it signs up. Commissions are matched to your logged leads by phone number. If a business signs up under your referral code but you never logged it as a lead, the commission will be held for manual review and may be withheld — this protects all partners by keeping the lead registry accurate so two partners never unknowingly work the same business. Logging your leads is how Covre prevents partners from colliding on the same business and how it builds the shared do-not-contact protections in Sections 21 and 22. Falsifying lead records to claim businesses you did not genuinely work is a prohibited activity under Section 3 and grounds for termination and commission forfeiture.
24. Entire Agreement
This agreement constitutes the entire agreement between you and Covre regarding the partner program and supersedes all prior discussions, representations, or agreements. If any provision is found unenforceable, the remaining provisions remain in full force.
